Please read these Terms and Conditions carefully before using VoteFirst. By accessing or using our Service, you agree to be bound by these Terms.

1. Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined below. These definitions apply whether the terms appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

• Service refers to the VoteFirst web application accessible at https://votefirst.app, which provides voting and feature request management tools.
• Company (referred to as "the Company", "We", "Us" or "Our") refers to VoteFirst.
• You means the individual, company, or legal entity accessing or using the Service.
• Account means a unique account created for You to access our Service.
• Website refers to VoteFirst, accessible from https://votefirst.app.
• Subscription refers to paid access to the Service offered on a recurring basis.
• Free Trial refers to the 14-day trial period during which You can access the Service without charge.
• Content means any text, data, votes, comments, feature requests, or other materials posted, uploaded, or submitted to the Service.
• Feedback means suggestions, ideas, or comments You provide regarding the Service.
• Device means any device that can access the Service, including computers, tablets, and smartphones.

2. Acknowledgment

These Terms and Conditions govern Your use of the Service and constitute a binding agreement between You and the Company. By accessing or using the Service, You acknowledge that You have read, understood, and agree to be bound by these Terms.

If You disagree with any part of these Terms, You must not access or use the Service.

You represent that You are at least 18 years of age and have the legal capacity to enter into this agreement. The Company does not permit individuals under 18 to use the Service.

Your use of the Service is also governed by our Privacy Policy, which describes how We collect, use, and protect Your personal information. Please review our Privacy Policy before using the Service.

3. Account Registration

To use certain features of the Service, You must create an Account. When creating an Account, You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update Your Account information
• Maintain the security of Your Account credentials
• Accept responsibility for all activities that occur under Your Account
• Notify Us immediately of any unauthorized access or security breach

You may not use another person's Account without permission, share Your Account credentials, or create an Account using false or misleading information.

We reserve the right to suspend or terminate Your Account if any information provided is inaccurate, false, or violates these Terms.

4. Subscriptions

4.1 Subscription Plans

The Service offers various subscription plans with different features and pricing. Subscription fees are billed in advance on a recurring basis (monthly or annually) depending on the plan You select.

All prices are displayed in US Dollars (USD) or Your local currency at the time of purchase and exclude applicable taxes unless otherwise stated.

4.2 Free Trial

New users may be eligible for a 14-day free trial. During the Free Trial:

• You will have access to the features included in the selected subscription plan
• You must provide valid payment information to start the trial
• No charges will be made during the 14-day trial period
• You may cancel at any time during the trial without being charged
• If You do not cancel before the trial ends, Your payment method will be automatically charged for the subscription

The Company reserves the right to modify or discontinue Free Trial offers at any time. Free Trials are limited to one per customer and may not be combined with other offers.

4.3 Automatic Renewal

Your Subscription will automatically renew at the end of each billing period unless You cancel before the renewal date. You will be charged the then-current subscription fee using the payment method on file.

It is Your responsibility to keep Your payment information current to avoid service interruption.

4.4 Cancellation

You may cancel Your Subscription at any time through Your Account settings or by contacting customer support at support@votefirst.app.

Cancellation will take effect at the end of Your current billing period. You will retain access to the Service until that date. No partial refunds will be provided for unused time in the current billing period.

5. Billing and Payments

5.1 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By providing payment information, You authorize the Company and Stripe to charge Your payment method for all fees incurred.

You must provide accurate and complete billing information, including legal name, address, email address, and valid payment method details.

5.2 Failed Payments

If a payment fails due to card expiration, insufficient funds, or other reasons:

• We will notify You via email
• We will attempt to process the payment again
• Your access to the Service may be suspended until payment is successful
• Your Account may be terminated if payment is not resolved within a reasonable timeframe

5.3 Price Changes

The Company may modify subscription fees at any time. Fee changes will take effect at the start of Your next billing period after the change is announced.

We will provide You with at least 30 days' notice of any price increase via email or through the Service. Your continued use of the Service after a price change constitutes acceptance of the new fees.

If You do not agree to a price change, You may cancel Your Subscription before it renews at the new rate.

5.4 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all taxes associated with Your use of the Service. If We are required to collect or pay taxes, they will be charged to You in addition to subscription fees.

5.5 Refunds

Except as required by law, subscription fees are non-refundable. We do not provide refunds or credits for partial months or years of service, or for periods when Your Account was inactive.

In exceptional circumstances, refund requests may be evaluated on a case-by-case basis at the Company's sole discretion. To request a refund, contact support@votefirst.app with details of Your situation.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Post or transmit harmful, offensive, obscene, or illegal content
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scripts) to access the Service without permission
• Scrape, copy, or download Content without authorization
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to spam or send unsolicited messages
• Manipulate voting or engagement metrics artificially
• Impersonate any person or entity

Violation of these acceptable use terms may result in immediate Account suspension or termination.

7. User Content

7.1 Your Content

You retain ownership of all Content You submit to the Service. By posting Content, You grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute Your Content solely for the purpose of operating and improving the Service.

7.2 Content Responsibility

You are solely responsible for the Content You post. You represent and warrant that:

• You own or have the necessary rights to post the Content
• Your Content does not violate these Terms or any applicable laws
• Your Content does not infringe upon third-party rights

7.3 Content Moderation

The Company reserves the right to monitor, review, and remove any Content that violates these Terms or is deemed inappropriate, without notice. However, We are not obligated to monitor all Content posted to the Service.

7.4 Backup Responsibility

While We take reasonable measures to protect Your Content, You are responsible for maintaining Your own backups. The Company is not responsible for any loss or corruption of Your Content.

8. Intellectual Property

The Service, including its design, features, text, graphics, logos, and software, is owned by the Company and protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant You any rights to use the Company's trademarks, logos, or branding without prior written permission.

Subject to Your compliance with these Terms, We grant You a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

9. Feedback

If You provide suggestions, ideas, or feedback about the Service, You grant the Company a perpetual, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such feedback without compensation or attribution.

10. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. These third-party services are not under the Company's control.

We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at Your own risk and subject to their respective terms and conditions.

We encourage You to review the terms and privacy policies of any third-party services You access through the Service.

11. Privacy and Data Protection

Your privacy is important to Us. Our Privacy Policy explains how We collect, use, store, and protect Your personal information. By using the Service, You consent to Our collection and use of information as described in the Privacy Policy.

We implement reasonable security measures to protect Your data, but We cannot guarantee absolute security. You acknowledge that internet transmission is never completely secure and that You use the Service at Your own risk.

12. Service Availability

While We strive to provide reliable service, We do not guarantee that the Service will be available at all times or free from interruptions, errors, or security vulnerabilities.

We may suspend or discontinue the Service or any part of it for maintenance, updates, or other reasons, with or without notice.

The Company is not liable for any loss or damage resulting from service downtime or unavailability.

13. Termination

13.1 Termination by You

You may terminate Your Account at any time by canceling Your Subscription and deleting Your Account through Account settings or by contacting Us.

13.2 Termination by Us

We may suspend or terminate Your Account immediately, without prior notice, if:

• You violate these Terms and Conditions
• Your payment method fails or subscription fees are unpaid
• We are required to do so by law
• We discontinue the Service
• We determine, in Our sole discretion, that Your continued access poses a risk

13.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Your Account data may be deleted in accordance with Our data retention policy
• You remain responsible for any outstanding fees
• Provisions that by their nature should survive termination will remain in effect

14. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of any Content or information
• Warranties that the Service will meet Your requirements

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to You.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Damages resulting from unauthorized access to Your Account
• Any damages arising from third-party services or content

IN ANY EVENT, THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability for incidental or consequential damages. In such jurisdictions, Our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your Content or any Content posted through Your Account
• Your violation of any third-party rights
• Any fraud or misconduct by You

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Your jurisdiction of residence, without regard to its conflict of law provisions.

Any legal action arising from these Terms or Your use of the Service shall be brought exclusively in the courts of Your jurisdiction, and You consent to the personal jurisdiction of such courts.

18. Dispute Resolution

If You have any dispute or claim relating to the Service or these Terms, You agree to first contact Us at support@votefirst.app and attempt to resolve the matter informally.

We will make reasonable efforts to resolve disputes amicably. If a resolution cannot be reached within 30 days, either party may pursue formal legal proceedings.

19. International Users

The Service is operated from the United States. If You access the Service from outside the United States, You are responsible for compliance with local laws and regulations.

By using the Service, You consent to the transfer and processing of Your information in the United States and other countries where We operate.

20. European Union Users

If You are located in the European Union, You have certain rights under the General Data Protection Regulation (GDPR) and other applicable laws. These rights are described in Our Privacy Policy.

Nothing in these Terms limits Your rights as a consumer under mandatory provisions of EU law.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. If We make material changes, We will:

• Provide at least 30 days' notice via email or through the Service

• Allow You to review and accept the new Terms

Your continued use of the Service after changes become effective constitutes Your acceptance of the revised Terms. If You do not agree to the changes, You must stop using the Service and cancel Your Subscription.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

23. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

24. Entire Agreement

These Terms, together with Our Privacy Policy and any other legal notices or agreements published on the Service, constitute the entire agreement between You and the Company regarding Your use of the Service.

25. Assignment

You may not assign or transfer these Terms or Your Account without Our prior written consent. We may assign or transfer these Terms and Your Account without restriction or notice.
